Contract rescission is a legal means of ending contractual obligations where performance becomes impossible or one party breaches the contract's terms. The Civil Code (Decree-Law No. 67 of 1980) governs rescission and its legal effects, emphasising the need for strong legal grounds for taking this step.

Types of Contract Rescission

There is a distinction between judicial rescission, which requires a court judgment after a breach has been established, and contractual rescission, which relies on a clause allowing the contract to be terminated when a specified condition is met.

In both cases, there must be a material breach that prevents the contractual relationship from continuing. Minor breaches that can be remedied do not always justify rescission, but may provide grounds for seeking specific performance or compensation.

Requirements for Seeking Rescission

The party seeking rescission must have fulfilled their obligations or be ready to fulfil them. A party who has breached their own obligation cannot seek rescission on the grounds of the other party's breach.

The party in breach must also be formally served with a notice demanding performance, giving them a final opportunity to fulfil their obligation before court proceedings are initiated. This notice is an important and central procedural step in establishing the legal consequences.

Legal Effects of Rescission

Rescission brings the contract to an end with retroactive effect, restoring the parties to the position they were in before entering into it. This means recovering what was paid or delivered.

Where restoring the previous position is impossible, monetary compensation may instead be awarded equivalent to the value of the unperformed obligations or the harm suffered.

When Is a Contract Automatically Rescinded?

The parties may agree on a contractual clause providing for automatic rescission, without the need for a court judgment or formal notice demanding performance, when a specified condition is met. This type of clause is known as an express rescission clause.

This clause must be drafted with utmost precision, as any laxity in enforcing it or subsequent acceptance of partial performance may be regarded as a waiver of this right.

The Need for Legal Advice

Deciding to rescind a contract is a legally sensitive step. Rescinding without a sound legal basis may expose you to legal liability and a claim for compensation by the other party.

Frequently asked questions

Can I rescind a contract simply because the other party is late in performing?

Not always. It depends on whether the delay constitutes a material breach. A lawyer should be consulted to assess the seriousness of the breach.

What is a formal notice demanding performance?

It is a formal notification to the other party requiring them to fulfil their obligation within a specified period. It is a necessary preliminary step in many cases of rescission.
