Article 38 of Companies Law

The general partnership's memorandum of association must contain the following particulars: 1- The partnership's firm name and its trade name, if any. 2- The partnership's principal office. 3- The purpose of establishing the partnership. 4- The partnership's duration, if any. 5- The names and surnames of the partners and the place of residence of each of them. 6- The manner of managing the partnership, the persons responsible for management and their powers. 7- The amount of the partnership's capital, each partner's share therein, and a statement of the contributions in kind provided, their nature and the value at which they have been assessed. The proportion of Kuwaiti ownership in the partnership must not be less than 51% of the capital. 8- The provisions governing the distribution of profits and losses among the partners. 9- The partnership's financial year. 10- The provisions governing the liquidation of the partnership and the division of its assets.
