State of Kuwait · Civil Matters — Volume 10 · Ministry of Justice — Court of Cassation — Technical Office

English translation of the principle

An undisclosed partnership. Its nature. Its lack of juridical personality. Its existence, dissolution, or liquidation may be proved by all means of proof. - The criterion for the existence of an undisclosed partnership contract. That the partners intend to participate in an activity involving risk and that each partner share in profit and loss. Management of that partnership is entrusted to one of its partners, but he does not legally represent it before third parties. The rationale for this: his dealings with third parties are in his own name. The partner upon whom the obligation rests. He is the proper party to be sued in an action claiming the right.
