Commercial companies, other than undisclosed partnerships, have legal personality and a patrimony separate from the persons of their partners and their patrimonies. The manager’s or partner’s signature in his own name without mentioning the company’s name is a presumption that he is acting for his own account; the other contracting party may rebut this presumption by all means of proof.
