Many people confuse contract nullity with contract rescission. Both bring contractual obligations to an end, but each has entirely different grounds and legal consequences under the Kuwaiti Civil Code (Decree-Law No. 67 of 1980).
What Is Contract Nullity?
Nullity means that a contract was incomplete or defective from the outset, for example because it lacked an essential requirement for validity, such as consent, subject matter, or cause. A void contract has no legal existence from the moment it is signed.
Nullity may be absolute if the contract violates public policy, or relative if one party’s consent is defective, for example because of duress or mistake.
What Is Contract Rescission?
Rescission applies to a contract that was valid and satisfied all essential requirements from the outset, but is brought to an end because one party subsequently breaches its obligations.
In other words, the contract produced its legal effects normally until the breach occurred, at which point the affected party—or the judge—decides to rescind the contractual relationship.
The Legal Consequences of Each
Nullity restores the parties to the position they were in before the contract, as though it had never existed. Anything delivered or paid must be returned because the contract never legally came into existence.
Rescission also restores the parties to their previous position, but it may give rise to additional compensation for the breach, which is generally not available in the same way in cases of nullity.
Why the Distinction Matters in Court Proceedings
When filing a lawsuit, the relief sought must be identified precisely. If you seek rescission of a contract that is actually void, you may lose your case or face prolonged proceedings.
Understanding the nature of the legal defect is the foundation for properly framing a claim to secure the desired outcome as efficiently as possible.

Frequently asked questions
Can I seek both nullity and rescission?
The legal route is usually chosen based on the nature of the defect; consulting a lawyer is essential to determine the most appropriate relief to seek.
Can a void contract produce any legal effects?
The general rule is that it produces no legal effects. However, effects may arise in certain specific circumstances provided for by law to protect third parties acting in good faith.
