Judicial principle — Kuwait Court of Cassation

Kuwait Court of Cassation principle number 1327

State of Kuwait · Civil Matters — Volume 10 · Ministry of Justice — Court of Cassation — Technical Office

English translation of the principle

Official form is necessary for the establishment of limited liability companies and for any partner's assignment of his share therein. Failure to embody a partner's contract assigning his share in the company in the form required by law. Its effect. Absolute nullity of the contract. Any interested person, whether a contracting party or a third party, may invoke it, and the court may declare it of its own motion. The rationale therefor: nullity means nonexistence, and giving effect to a void contract is contrary to public policy.
