Judicial principle — Kuwait Court of Cassation

Kuwait Court of Cassation principle number 151

State of Kuwait · Commercial and Labour — Volume 9 · Ministry of Justice — Court of Cassation — Technical Office

English translation of the principle

Nullity means nonexistence. - Giving effect to a void contract lacking its constituent elements conflicts with public policy. - A judgment declaring a company void leaves behind a de facto company to be liquidated according to the general rules governing de facto companies. It may not be invoked against good-faith third parties and shareholders. - An action for nullity is time-barred after 15 years from the date of the contract. Article 186/3, Civil Code. Its relation to bringing an action leaves no basis for invoking it when nullity is asserted by way of defense. Reliance on the bankruptcy judgment in that regard. Impermissible.
