Article 52 of Civil Code

1 - If the contracting parties agree on all essential matters of the contract and leave secondary matters pending in the hope of agreeing on them in the future, this shall not prevent the formation of the contract, unless it appears that their common intention was otherwise. 2 - If the contracting parties fail to agree on the secondary matters they left pending, the judge shall resolve the disagreement concerning them in accordance with the nature of the transaction, prevailing custom, and the requirements of justice.
