Article 137 of Commercial Code

1 - If the seller retains ownership of the movable sold until all instalments of the price have been paid, the buyer shall acquire that ownership upon payment of the final instalment. The buyer shall bear the risk of loss of the thing sold from the time it is delivered to the buyer. 2 - Without prejudice to the provisions stipulated in the chapter on bankruptcy, the retention-of-title condition shall not be effective against third parties unless recorded in an instrument bearing an established date preceding the third party's right or the enforcement measures taken by creditors against the thing sold.
