English translation
The board of directors may undertake all acts required for the management of the company in accordance with its objects. This power shall be limited only by the provisions of the law, the company's memorandum of association or the resolutions of the general assembly. The company's memorandum of association shall specify the extent of the board of directors' authority to borrow, mortgage the company's real estate, enter into guarantees, arbitrate, settle and make donations.

لمجلس الإدارة أن يزاول جميع الأعمال التي تقتضيها إدارة الشركة وفقا لأغراضها،
ولا يحد من هذه السلطة إلا ما نص عليه القانون أو عقد الشركة أو قرارات الجمعية
العامة .
ويبين في عقد الشركة مدى سلطة مجلس الإدارة في الاقتراض ورهن عقارات الشركة
