English translation
A limited liability company may not be incorporated, nor may its capital be increased, by public subscription. Addressing the public, directly or indirectly, with an invitation to participate in the company shall be deemed a public subscription. The partners' ownership interests may not take the form of negotiable shares, nor may the company borrow by issuing any negotiable securities.

لا يجوز تأسيس الشركة ذات المسؤولية المحدودة أو زيادة رأس مالها عن طريق
الاكتتاب العام، ويعتبر في حكم الاكتتاب العام التوجه إلى الجمهور بطريق مباشر
أو غير مباشر بدعوة للاشتراك في الشركة.
ولا يجوز أن تكون حصص الشركاء في شكل أسهم قابلة للتداول، كما لا يجوز للشركة
