English translation
The memorandum of association of a limited liability company must include the following particulars: 1- The company’s name and address. 2- The partners’ names, surnames, and nationalities. 3- The company’s head office, email address, or post office box. 4- The company’s duration, if any. 5- The purposes for which the company was established. 6- The amount of the company’s capital and the cash or in-kind contributions made thereto by each partner. 7- The names of those entrusted with managing the company, whether partners or others, or a statement of the method of their appointment, and the names of the members of the supervisory board in cases where the law requires such a board to exist. 8- The manner of distributing profits and bearing losses. 9- Any other particulars required by the Executive Regulations. )2(

يجب أن يشتمل عقد الشركة ذات المسؤولية المحدودة على البيانات التالية:
١- اسم الشركة وعنوانها.
2- أسماء الشركاء وألقابهم وجنسياتهم.
3- مركز الشركة الرئيسي أو عنوان البريد الإلكتروني أو صندوق البريد.
4- مدة الشركة إن وجدت.
5- الأغراض التي أسست من أجلها الشركة.
6- مقدار رأس مال الشركة، والحصص النقدية أو العينية التي قدمها كل شريك فيه.
7- أســماء مــن يعهــد إليهــم بــإدارة الشركــة مــن الــشركاء أو من غيرهــم، أو بيــان طريقة
تعيينهــم، وأسماء أعضــاء مجلــس الرقابــة في الحالات التــي يوجــب فيهــا القانــون وجــود
هــذا المجلــس.
٨- كيفية توزيع الأرباح وتحمل الخسائر.
