An assignment of a right constitutes payment in lieu by the assigned right if its purpose is to discharge a debt owed by the assignor. It is concluded by mutual consent between the assignor and assignee without the need for the debtor’s consent. It is not effective against him unless he accepts it or is notified of it by an official document served by a process server. His knowledge of its occurrence through any other means is insufficient.
