English translation of the principle
Sale of the entire undertaking carried on by the company or its disposal in any other manner. A resolution thereon may not be adopted by the general assembly unless it is convened in extraordinary session. Limiting the sale to a share of the company does not require an extraordinary general assembly to convene to approve it, and there is no nullity on this ground. Article 158 of Law 15 of 1960. بيع كل المشروع الذي قامت به الشركة أو التصرف فيه بأي وجه آخر. لا يجوز اتخاذ قرار به من الجمعية العامة إلا وهي منعقدة بصفة غير عادية. قصر البيع على حصة من الشركة لا يستلزم انعقاد الجمعية العمومية غير العادية للموافقة عليه ولا بطلان لهذا السبب. م ١٥٨ ق ١٥ لسنة ١٩٦٠. مثال.Original Arabic judgment citations
