Article 61 of Civil Code

English translation

1 - If a person concludes a contract on behalf of another without authority to represent that person, or, in concluding it, exceeds the limits of his authority, the effects of that contract shall not extend to the principal unless the principal ratifies it in accordance with the law. 2 - If the transaction is not ratified, the other contracting party may seek compensation for the damage suffered from the person who, without an acceptable excuse, assumed the capacity of representative or exceeded the limits of his authority, unless the other contracting party knew of the absence of authority or that its limits had been exceeded, or ought to have known thereof.
