Article 117 of Companies Law

The extraordinary general assembly shall have competence over the following matters: 1- Amendment of the company's memorandum of association. 2- Dissolution and liquidation of the company. 3- Merger, conversion or division of the company. 4- Increase or reduction of the company's capital. 5- Removal of the company's manager, or restriction of his authority if he is appointed in the company's memorandum of association. And subject to the provisions governing merger, conversion and division, and the resolutions of the extraordinary general assembly shall take effect upon their entry in the Commercial Register, without the need to embody them in an official instrument.
