Article 122 of Companies Law

The founders shall submit an application for approval of the incorporation of the company to the Ministry. The application must state the name of the person whom the founders authorize to undertake the incorporation procedures, his occupation, and his address to which correspondence concerning incorporation is to be sent. The following documents must be attached to the application: 1 - A copy of the draft company contract signed by the founders. 2 - If the company's activities are among those in respect of which a law must be enacted or approval must be issued by any of the regulatory authorities, that requirement must be fulfilled before submitting the application. 3 - If there are contributions in kind, evidence of their valuation in accordance with Article 11 of this Law must be attached to the application. 4- If the company's name is derived from the name of a natural person, proof that any of the intellectual property rights or trademarks that the company will exploit are registered in that person's name, or evidence of its ownership of a commercial establishment whose name it has adopted as its own, must be attached to the application. 5 - If the company bears the name of another company, proof that this other company is in the process of liquidation and agrees to the naming must be attached to the application. 6- If a legal person is among the founders, a certified copy of its incorporation document and proof of the approval of its competent body to participate in the incorporation must be submitted with the application. 7 - An economic feasibility study for the company's project. 8 - Any other documents required by the Executive Regulations.
