English translation
No transaction between the company under incorporation and its founders shall be effective against the company after its incorporation unless the transaction is approved by the company's constituent assembly at a meeting in which the interested founders have no counted votes, unless the transaction is undertaken by all partners. In all cases, the interested founder must submit a report containing the particulars and information relating to this transaction at the company's headquarters seven days before the assembly convenes. Any shareholder shall have the right to inspect them, and this shall be mentioned in the invitation to the assembly meeting.

لا يسري في حق الشركة - بعد تأسيسها - أي تصرف يتم بين الشركة تحت التأسيس
وبين مؤسسيها، وذلك ما لم يعتمد هذا التصرف من الجمعية التأسيسية للشركة في
اجتماع لا يكون فيه للمؤسسين ذوي المصلحة أصوات معدودة، ما لم يكن التصرف
صادرًا من جميع الشركاء.
وفي جميع الأحوال يجب أن يقدم المؤسس ذو المصلحة تقريرا بالبيانات والمعلومات
المتعلقة بهذا التصرف في مقر الشركة قبل انعقاد الجمعية بسبعة أيام، ويكون لأي
من المساهمين حق الاطلاع عليها، ويشار إلى ذلك في الدعوة لاجتماع الجمعية.Ask about this article
