Without prejudice to the rules of criminal liability, a founder, during the company's formation stage, shall exercise the care of a prudent person in transactions conducted in the name and for the account of the company during that stage. The founders shall be jointly and severally liable for any obligations or damage that may be incurred by the company or third parties as a result of their acts or of any breach of this obligation. If a founder receives any funds or information belonging to the company under formation, the founder shall return to the company those funds and any profits obtained as a result of using those funds or that information. The founders shall be jointly and severally liable for the obligations they have undertaken.

مع عدم الإخلال بقواعد المسؤولية الجزائية، يلتزم المؤسس في مرحلة تأسيس الشركة
بأن يبذل في تعاملاته التي تتم باسم والحساب الشركة في هذه المرحلة عناية الرجل
الحريص، ويتحمل المؤسسون على سبيل التضامن أي التزامات أو أضرار قد تصيب
الشركة أو الغير نتيجة تصرفاتهم أو نتيجة أي مخالفة لهذا الالتزام.
وإذا تلقى المؤسس أية أموال أو معلومات تخص الشركة تحت التأسيس، كان عليه
