English translation
If the losses of a limited liability company reach three quarters of its capital, the managers shall submit to the extraordinary general assembly of partners the matter of covering the capital, dissolving the company, or taking other appropriate measures. If the managers neglect to invite the partners, or the partners are unable to reach a decision on the matter, the managers or partners, as the case may be, shall be jointly and severally liable for the company's obligations resulting from their neglect.

إذا بلغت خسائر الشركة ذات المسئولية المحدودة ثلاثة أرباع رأس المال، وجب على
المديرين أن يعرضوا على الجمعية العامة غير العادية للشركاء أمر تغطية رأس المال
أو حل الشركة، أو اتخاذ غير ذلك من التدابير المناسبة.
