Article 291 of Companies Law

English translation

Subject to the rights prescribed for holders of preferred shares, the liquidator shall divide the company's remaining property, after payment of its debts, among the partners. Each partner shall receive a portion proportionate to the value of his contribution to the capital. If the contribution provided by the partner was merely the use of property, the partner shall recover that property unless it perished during its use, in which case its value at the time of its destruction shall be returned to him. If property remains thereafter, it shall be distributed among all the partners in proportion to each one's share in the profits. If the company's net property is insufficient to satisfy the partners' contributions, deductions shall be made from the partners' contributions in accordance with the ratio agreed upon for the distribution of losses. In all cases in which the company's property is insufficient to satisfy its debts, the liquidator may take the procedures prescribed by law for declaring the company bankrupt.
