The liquidator must collect the company's claims against third parties or partners and deposit the amounts collected in a bank for the account of the company in liquidation. The company's debts shall be paid in the following order: 1- Financial obligations arising from liquidation operations. 2- All amounts due to the company's employees. 3- Preferential debts according to their order of priority. 4- Debts secured by security interests in property, within the limits of the proceeds of the property securing the debt. Any assets remaining after payment of the debts stated above shall be paid to ordinary creditors. If the remaining liquidation proceeds are insufficient to pay all these debts, the assets shall be divided among them pro rata.

يتعين على المصفي أن يستوفي ما يكون للشركة من حقوق لدى الغير أو لدى الشركاء
وإيداع المبالغ التي يحصلها في أحد البنوك لحساب الشركة في دور التصفية.
وعلى المصفي سداد ديون الشركة وتجنيب المبالغ اللازمة لسداد الديون المتنازع
عليها، ويتم سداد ديون الشركة وفقا للترتيب التالي:
١- الالتزامات المالية الناتجة عن عمليات التصفية.
٢- جميع المبالغ المستحقة للعاملين في الشركة.
٣- الديون الممتازة حسب ترتيب امتيازها.
٤- الديون المضمونة بتأمينات عينية وذلك في حدود ناتج الشيء الضامن للدين.
ما يتبقى من مال بعد سداد الديون السابق بيانها يؤدى للدائنين العاديين، فإن لم
يكف المتبقى من ناتج التصفية لسداد كل هذه الديون يتم قسمة المال عليهم قسمة
