Article 7 of Companies Law

Except for a joint venture company, the company's memorandum of association must be written in an authenticated official instrument; otherwise, it shall be void. The partners may invoke, as between themselves, the nullity arising from failure to put the memorandum in writing in the manner specified in the preceding paragraph. They may not invoke that nullity against third parties, who may invoke it against them. If the company's memorandum of association is adjudged void at a third party's request, the company shall be deemed never to have existed in relation to that party. If the memorandum is adjudged void at the request of a partner, the nullity shall have effect in relation to that partner only from the date the action was brought.
