English translation
The contract of a shareholding company of either type shall include the memorandum of incorporation and the articles of association. Other companies, except a joint venture company, shall have a memorandum of incorporation, and the partners may establish articles of association for them. The company’s articles of association, if any, shall be considered part of the company contract. The Executive Regulations shall specify the model memorandum of incorporation and articles of association for the companies provided for in this Law. This model shall include the particulars and terms required by the Law and the Executive Regulations, as well as the terms that the partners and founders may not agree to contravene. The partners may add such terms as they see fit that do not conflict with the mandatory provisions of the Law and its Executive Regulations.

يجب أن يشتمل عقد شركة المساهمة بنوعيها على عقد التأسيس والنظام الأساسي،
أما غيرها من الشركات - فيما عدا شركة المحاصة - فيكون لها عقد تأسيس ويجوز
أن يضع الشركاء نظامًا أساسيًا لها، ويعتبر النظام الأساسي للشركة في حال وجوده
جزءًا من عقد الشركة.
وتبين اللائحة التنفيذية نموذج عقد التأسيس والنظام الأساسي للشركات المنصوص
عليها في هذا القانون، ويجب أن يشتمل هذا النموذج على البيانات والشروط
التي يتطلبها القانون واللائحة التنفيذية، وكذلك الشروط التي لا يجوز للشركاء
والمؤسسين الاتفاق على ما يخالفها، ويكون للشركاء إضافة ما يرونه من شروط لا
