English translation
Except for a joint venture company, the company’s memorandum of association and amendments thereto shall be publicized in accordance with the provisions of this Law. If the memorandum is not publicized in the aforementioned manner, it shall be ineffective against third parties. If the failure to publicize is confined to one or more of the particulars required to be publicized, those particulars alone shall be ineffective against third parties. Nevertheless, a third party acting in good faith may invoke the existence of the company or amendments to its memorandum even if the publicity procedures have not been completed. The company’s managers or members of its board of directors shall be jointly and severally liable for compensation for damage sustained by the company, the partners or third parties acting in good faith due to the failure to publicize.

فيما عدا شركة المحاصة، يشهر عقد الشركة وما يطرأ عليه من تعديلات وفقًا
لأحكام هذا القانون، فإذا لم يشهر العقد على النحو المذكور كان غير نافذ في مواجهة
الغير. وإذا اقتصر عدم الإشهار على بيان أو أكثر من البيانات الواجب إشهارها
كانت هذه البيانات وحدها غير نافذة في مواجهة الغير. ومع ذلك يجوز للغير
الحسن النية أن يتمسك بوجود الشركة أو ما يطرأ على عقدها من تعديلات ولو لم
تستوف إجراءات الشهر.
ويسأل مدير و الشركة أو أعضاء مجلس إدارتها بالتضامن عن تعويض الضرر الذي
