Article 11 of Companies Law

If the company's capital, upon its incorporation or upon an increase in its capital, includes contributions in kind, such contributions must be valued by one of the auditing firms accredited by the Authority. The Executive Regulations shall specify the bases and rules for valuing contributions in kind. The valuation of a contribution shall not be final until approved by the partners, the constituent assembly, or the general assembly, as the case may be. Persons providing contributions in kind shall not have the right to vote on approval of the valuation, even if they hold shares or cash interests. If it becomes apparent that the valuation of the contributions in kind is more than one tenth below the value for which they were provided Law Index 1465 Home Page Companies Law Law No. 1 of 2016 Promulgating the Companies Law , the company must reduce its capital by an amount equivalent to this shortfall. The person providing the contribution in kind may pay the difference in cash, and may also withdraw his subscription by way of the contribution in kind. In all cases, contributions in kind may represent only shares or interests whose value has been fully paid.
