Creation of a commercial instrument in discharge of a prior obligation entails the creation of a new obligation, namely the obligation under the negotiable instrument, alongside the original obligation. The creditor may have recourse against the debtor by an action on the negotiable instrument or an action on the original debt. - Apparent agency.
