Article 111 of Companies Law

A limited liability company shall have a general assembly comprising all partners, which shall meet upon an invitation from the company's manager. The company's manager may convene the general assembly at any time and must convene it upon a request submitted to him by the supervisory board, the auditor, or a number of partners owning not less than 10% of the company's capital. The Ministry may also convene the assembly and attend its meeting at any time in cases where the manager is required to convene it but fails to do so. The provisions governing procedures for convening the general assembly of a closed shareholding company shall apply to procedures for convening the general assembly of partners.
