English translation
A candidate for membership of the board of directors must meet the following conditions: 1- He must have legal capacity to dispose. 2- He must not previously have been sentenced to a custodial penalty for a felony, or convicted of an offence of negligent or fraudulent bankruptcy, or an offence involving dishonour or breach of trust, or sentenced to a custodial penalty for violating this Law, unless he has been rehabilitated. 3- Except for independent members of the board of directors, he must personally own, or the person he represents must own, a number of shares in the company. 4- Any other conditions contained in the memorandum of incorporation. 1. If a member of the board of directors ceases to meet any of the foregoing conditions or other conditions contained in this Law or other laws, his membership shall cease from the date he ceases to meet that condition.

يجب أن تتوافر فيمن يترشح لعضوية مجلس الإدارة الشروط التالية:
١- أن يكون متمتعا بأهلية التصرف.
2- ألا يكــون قد ســبق الحكــم عليه في جناية بعقوبة مقيدة للحريــة أو في جريمة إفلاس
بالتقــصير، أو التدليــس، أو جريمــة مخلــة بــالشرف، أو الأمانــة، أو بعقوبــة مقيــدة للحرية
بســبب مخالفتــه لأحــكام هــذا القانــون مــا لم يكــن قــد رد إليــه اعتبــاره.
3- فيــما عــدا أعضــاء مجلس الإدارة المســتقلين، يجب أن يكــون مالًكا بصفة شــخصية أو
يكــون الشــخص الــذي يمثلــه مالــًكا لعــدد مــن أســهم الشركــة.
4- أي شروط أخرى ترد في عقد التأسيس.
١. وإذا فقــد عضــو مجلــس الإدارة أي مــن الــشروط المتقدمــة أو غيرهــا مــن الــشروط
الــواردة في هــذا القانــون أو القوانــين الأخــرى زالــت عنــه صفــة العضويــة مــن تاريــخ
