Article 201 of Companies Law

The chairman and members of the board of directors shall be liable to the company, the shareholders and third parties for all acts of fraud and abuse of power, for every violation of the law or the company's memorandum of association, and for errors in management. A vote by the general assembly discharging the board of directors shall not preclude the institution of a liability action. Members of the board of directors may not participate in voting on general assembly resolutions concerning their discharge from liability for their management, or relating to a special benefit for them, their spouses or their first-degree relatives, or to an existing dispute between them and the company.
