Article 207 of Companies Law

The Ministry shall call the general assembly to meet within fifteen days if the board of directors has not issued the invitation to the assembly meeting for any reason in cases where the board is required to call the assembly to meet. The Ministry shall take the place of the board of directors in taking the measures necessary to hold the meeting, and may chair the meeting unless the assembly elects a shareholder for this purpose. Article 208 (2) Every shareholder, regardless of the number of his shares, shall have the right to attend the general assembly and shall have a number of votes equal to the number of votes prescribed for the same class of shares. A shareholder may not vote for himself or for anyone he represents on matters relating to a special benefit for him or an existing dispute between him and the company. Any condition or resolution contrary to this shall be void. A shareholder may appoint another person as his proxy to attend. The Authority shall issue the rules governing the disclosures required in special powers of attorney for the attendance of persons representing shareholders at the general assembly.
