Article 208 of Companies Law

Every shareholder, regardless of the number of his shares, shall have the right to attend the general assembly and shall have a number of votes equal to the number of votes prescribed for the same class of shares. A shareholder may not vote on his own behalf or on behalf of anyone he represents on matters relating to a special benefit for himself or an existing dispute between him and the company. Every condition or resolution contrary thereto shall be void. A shareholder may authorize another person to attend on his behalf. The Authority shall issue the rules regulating the disclosures required in special powers of attorney for attendance by a shareholder’s representative at the general assembly. Any person claiming a right over shares that conflicts with what is recorded in the company’s register of shareholders may apply to the judge of interim matters to obtain an order on petition depriving the disputed shares of voting rights for a period determined by the judge issuing the order or until the merits of the dispute are determined by the competent court, in accordance with the procedures prescribed in the Civil and Commercial Procedure Law.
