Article 211 of Companies Law

Subject to the provisions of the Law and the company's constitutive contract, the ordinary general assembly at its annual meeting shall have competence to adopt resolutions on matters falling within its competence, particularly the following: 1- The board of directors' report on the company's activity and financial position for the financial year ended. 2- The auditor's report on the company's financial statements. 3- A report on any violations identified by the supervisory authorities for which penalties were imposed on the company. 4- The company's financial statements. 5- The board of directors' proposals concerning the distribution of profits. 6- Discharge of the members of the board of directors. 7- Election or removal of members of the board of directors, and determination of their remuneration. 8- Appointment of the company's auditor and determination of his fees, or delegation of the board of directors to do so. 9- Appointment of the Sharia supervisory board for companies operating in accordance with the provisions of Islamic Sharia, and hearing that board's report. 10- The report on transactions that have been or will be conducted with related parties; related parties shall be defined in accordance with international accounting principles.
