Article 220 of Companies Law

Every shareholder may bring an action for the nullity of any decision issued by the board of directors or the ordinary or extraordinary general assembly that violates the law or the company's contract or is intended to harm the company's interests, and may claim compensation where appropriate. The nullity action shall lapse upon the expiry of two months from the date of issuance of the assembly's decision or the shareholder's knowledge of the board of directors' decision. Decisions of the ordinary and extraordinary general assembly that prejudice minority rights may also be challenged. The challenge shall be brought by a number of the company's shareholders owning fifteen percent of the company's issued capital who were not among those who approved those decisions. This action shall lapse upon the expiry of two months from the date of the assembly's decision. In this case, the court may uphold, amend or annul the decisions, or defer their implementation until an appropriate settlement is made to purchase the objectors' shares, provided that these shares are not purchased from the company's capital.
