Article 105 of Companies Law

If the powers of the company's manager are not specified in the company's contract or in the resolution issued by the general assembly of partners appointing the manager, the manager shall have full authority to carry out all acts and transactions necessary to achieve the company's objects. The managers shall be jointly and severally liable towards the company, the partners and third parties for their violation of the provisions of the law or the company's contract, or for fault in management, in accordance with the rules stipulated in the Part on joint-stock companies in this Law.
