Article 106 of Companies Law

If the company's memorandum of association does not stipulate the company manager's powers and the rules governing the performance of his work, he may not manage another competing company or one with similar objects, contract with the company he manages for his own account or for the account of a third party, or conduct an activity of the same kind as the company's activity for a third party's account, except with permission issued by the ordinary general assembly of partners.
