English translation
Fictitious profits may not be distributed; otherwise, the company's creditors may demand that every partner and every person who benefited return what they received thereof, even if they acted in good faith. The company's manager or board of directors that recommended the distribution of fictitious profits shall be jointly and severally liable for the repayment of these profits. A partner shall not be obliged to return genuine profits received, even if the company incurs losses in subsequent years.

لا يجوز توزيع أرباح صورية، وإلا جاز لدائني الشركة مطالبة كل شريك وكل مـن
استفاد برد ما قبضه منها ولو كان حسن النية.
ويكون مدير الشركة أو مجلس الإدارة الذي أوصى بتوزيع الأرباح الصورية مسؤولاً
بالتضامن عن رد هذه الأرباح.
ولا يلتزم الشريك برد الأرباح الحقيقية التي قبضها ولو منيـت الشركة بخسائر في
