Article 55 of Companies Law

Without prejudice to the rights of the company’s creditors, a partner may be expelled from a general partnership by a judicial judgment upon the request of one or more other partners holding at least twenty-five percent of the capital interests and on grounds justifying expulsion, provided that the company continues among the remaining partners. Grounds justifying expulsion include acts by the partner constituting grounds for dissolution of the company, or the partner’s disposal of all or some of his assets with the intention of harming the remaining companies. The interest of the expelled partner shall be valued in accordance with the first paragraph of Article 11 of this Law. Part Three Limited Partnership
