English translation
The company's memorandum of association may not be amended except by a resolution adopted at a meeting of the partners by a numerical majority of the partners owning three quarters of the capital. The amendment shall take effect upon registration. A partner who did not agree to the amendment of the memorandum shall have the right to withdraw from the company. In this case, the company shall value that partner's rights by agreement of a majority of the remaining partners. If that partner does not accept this, that partner's rights shall be valued in accordance with the first paragraph of Article 11 of this Law.

لا يجوز تعديل عقد الشركة إلا بقرار يصدر عن اجتماع الشركاء بالأغلبية العددية
للشركاء الذين يملكون ثلاثة أرباع رأس المال، وينفذ التعديل بالقيد.
ويكون للشريك الذي لم يوافق على تعديل العقد حق الخروج منها، وتقيم الشركة
حقوقه في هذه الحالة باتفاق أغلبية باقي الشركاء، فإن لم يقبل بذلك قيمت حقوقه
