Article 53 of Companies Law

The company's creditors shall have the right of recourse against it in respect of its assets, and shall also have the right of recourse against any partner in the company at the time of contracting in respect of his private assets. All partners shall be jointly and severally liable towards the company's creditors. Execution against a partner's private assets may not take place before the company has been formally notified to pay the debt and fifteen days have elapsed without payment. If a partner pays a debt owed by the company, he may recover what he has paid from the company or from the remaining partners, each in proportion to his share of the debt. If a partner has personal creditors, the company's creditors may compete with them in recourse against the partner's private assets.
