The manager may not undertake acts exceeding ordinary management except with the consent of all partners or pursuant to an express provision in the company's memorandum of association. This prohibition shall apply in particular to the following acts: 1. Donations. 2. Selling the company's real estate, unless disposing of it falls within the company's purposes. 3. Mortgaging or pledging the company's assets. 4. Selling the company's commercial establishment or a pledge. 5. Borrowing. 6. Guaranteeing the debts of others. 7. Arbitration by amicable composition. 8. Settlement and release.

لا يجوز للمدير القيام بالتصرفات التي تجاوز الإدارة العادية إلا بموافقة جميع الشركاء
أو بنص صريح في عقد الشركة. ويسري هذا الحظر بصفة خاصة على التصرفات
التالية:
1. التبرعات.
2. بيع عقارات الشركة، إلا إذا كان التصرف فيها مما يدخل ضمن أغراض الشركة.
3. رهن أموال الشركة.
4. بيع متجر الشركة أو رهن.
5. الاقتراض.
6. كفالة ديون الغير.
7. التحكيم بالصلح.
